These Terms of Service ("Terms") govern your use of WIYD ("the Service"), operated by VACSO HOLDINGS PTY LTD (ACN 684 405 356) ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which forms part of these Terms.
Acceptance of Terms
By accessing, browsing, or using WIYD in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
Eligibility
You must be at least 16 years of age to use the Service. By using WIYD, you represent and warrant that you meet this age requirement. If you are under 18, you confirm that you have the consent of a parent or legal guardian.
Service Description
WIYD is an AI-powered goal management and personal productivity platform currently in beta / early access. The Service is under active development and may change, be updated, or be discontinued at any time without notice.
Features may be added, modified, or removed during the beta period
The Service may experience downtime, bugs, or data loss
We do not guarantee availability or uptime of the Service
The Service is currently provided free of charge; pricing may change in the future with advance notice
Your Account
When you create an account, you must provide accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
We may suspend or terminate your account if we reasonably believe you have violated these Terms, or if your account has been inactive for an extended period. We will provide reasonable notice where possible before termination, unless the termination is due to a serious breach of these Terms.
Upon termination or deletion of your account, we will retain your data for 30 days to allow recovery, after which it will be permanently deleted in accordance with our Privacy Policy. You may request an export of your data prior to account deletion by contacting us.
User Responsibilities
When using the Service, you agree to:
Provide accurate and truthful information when registering or submitting data
Use the Service only for lawful purposes and in accordance with these Terms
Not attempt to interfere with, disrupt, or compromise the security or integrity of the Service
Not use the Service to transmit harmful, offensive, or unlawful content
Keep your account credentials secure and not share them with others
Not reverse engineer, decompile, or attempt to extract the source code of the Service
Not use automated tools (bots, scrapers) to access the Service without our written consent
Not resell, sublicense, or redistribute the Service or any part of it
AI-Powered Features
WIYD uses artificial intelligence to provide features including goal planning, strategy generation, task recommendations, and project chat assistants. You acknowledge and agree that:
AI-generated content may be inaccurate, incomplete, or unsuitable for your specific circumstances
AI outputs are provided as productivity tools and do not constitute professional advice (financial, medical, legal, or otherwise)
You are solely responsible for reviewing, verifying, and deciding whether to act on any AI-generated suggestions
AI features depend on third-party services (including OpenAI and Anthropic) which may be temporarily unavailable
You must not use AI features to generate harmful, misleading, or illegal content

Intellectual Property
All content, design, code, branding, and intellectual property associated with the Service is owned by VACSO HOLDINGS PTY LTD or its licensors. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.
You retain ownership of any content you submit to the Service (including goals, notes, documents, and other user-generated content). By submitting content, you grant us a limited, non-exclusive licence to store, process, and display that content as necessary to provide the Service to you. This licence terminates when you delete your content or your account.
Limitation of Liability
To the maximum extent permitted by law, VACSO HOLDINGS PTY LTD and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
Australian Consumer Law: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be excluded, restricted, or modified by agreement.
Subject to the above, the Service is provided "as is" and "as available". To the extent permitted by law, we disclaim all other warranties, whether express or implied, including implied warranties of merchantability and fitness for a particular purpose.
Indemnification
You agree to indemnify, defend, and hold harmless VACSO HOLDINGS PTY LTD and its directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your use of the Service, or your violation of any applicable law or the rights of any third party.
Termination
We reserve the right to suspend or terminate your access to the Service at any time for breach of these Terms, with notice where reasonably practicable. You may stop using the Service and delete your account at any time. Upon termination, your right to use the Service will immediately cease, and your data will be handled in accordance with our Privacy Policy.
Force Majeure
We will not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, internet or telecommunications failures, third-party service outages, government actions, or pandemics.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Victoria, Australia. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
Before commencing legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting the other party and negotiating in good faith for a period of at least 30 days.
General Provisions
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and VACSO HOLDINGS PTY LTD regarding the Service and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
